Terms

The Licensor hereby grants you the right to copy, modify, create derivative works, redistribute, and make non-production use of the Licensed Work. The Licensor may make an Additional Use Grant, above, permitting limited production use.

Effective on the Change Date, or the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under this License, whichever comes first, the Licensor hereby grants you rights under the terms of the Change License, and the rights granted in the paragraph above terminate.

If your use of the Licensed Work does not comply with the requirements currently in effect as described in this License, you must purchase a commercial license from the Licensor, its affiliated entities, or authorized resellers, or you must refrain from using the Licensed Work.

All copies of the original and modified Licensed Work, and derivative works of the Licensed Work, are subject to this License. This License applies separately for each version of the Licensed Work and the Change Date may vary for each version of the Licensed Work released by the Licensor.

You must conspicuously display this License on each original or modified copy of the Licensed Work. If you receive the Licensed Work in original or modified form from a third party, the terms and conditions set forth in this License apply to your use of that work.

Any use of the Licensed Work in violation of this License will automatically terminate your rights under this License for the current and all other versions of the Licensed Work.

This License does not grant you any right in any trademark or logo of Licensor or its affiliates (provided that you may use a trademark or logo of Licensor as expressly required by this License).

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED WORK IS PROVIDED ON AN "AS IS" BASIS. LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Supplemental Terms

The following supplemental terms apply in addition to, and as part of, the Business Source License 1.1 set forth above. Capitalized terms have the meaning given above.

1. Intellectual Property

The Licensed Work and all related documentation, design, source code, object code, demos, showcases, branding, and trade dress are and shall remain the sole and exclusive intellectual property of the Licensor. No title to, or ownership of, any portion of the Licensed Work is transferred to you under this License. All rights not expressly granted are reserved by the Licensor.

2. Restrictions

Without limiting the License Text above, you may not, and may not permit any third party to: (a) sublicense, sell, rent, lease, or otherwise transfer the Licensed Work to any third party except as expressly permitted; (b) use the Licensed Work to provide, directly or indirectly, a hosted, managed, or "as-a-service" graph-visualization, network-visualization, or topology product that competes with the Licensor's offerings; (c) remove, alter, or obscure any proprietary notices, license keys, watermarks, or attribution included in the Licensed Work; (d) use the Licensed Work in violation of any applicable export-control, sanctions, or other applicable laws.

3. Trademarks

"TopoKit", the TopoKit logo, and any related names, marks, or logos are trademarks of the Licensor. This License does not grant you any right to use the Licensor's trademarks, except as strictly required to comply with the attribution requirements of this License. Any other use requires the Licensor's prior written consent.

4. Feedback

If you provide the Licensor with any suggestions, ideas, bug reports, or other feedback relating to the Licensed Work ("Feedback"), you hereby grant the Licensor a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and exploit such Feedback for any purpose, without any obligation or compensation to you.

5. Termination

Your rights under this License terminate automatically and immediately if you breach any of its terms. Upon termination, you must cease all use of the Licensed Work and destroy all copies in your possession or control. Sections 1, 2, 3, 6, 7, 8, and 9 survive termination.

6. Disclaimer of Warranties

The Licensed Work is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, statutory, or otherwise. The Licensor expressly disclaims all warranties, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation. The Licensor does not warrant that the Licensed Work is free of defects, errors, or harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or in connection with this License or the Licensed Work, even if advised of the possibility of such damages. The Licensor's aggregate liability under or in connection with this License shall not exceed the greater of (a) the amount you paid the Licensor for the Licensed Work in the twelve (12) months preceding the event giving rise to liability or (b) one hundred U.S. dollars (USD 100).

8. Indemnification

You agree to defend, indemnify, and hold harmless the Licensor and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Licensed Work, (b) your violation of this License, or (c) your violation of any law or any rights of any third party.

9. Governing Law and Venue

This License shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict-of-laws principles. The Istanbul Çağlayan Courts and Enforcement Offices (İstanbul Çağlayan Mahkemeleri ve İcra Müdürlükleri) shall have exclusive jurisdiction over any dispute arising out of or in connection with this License, without prejudice to the Licensor's right to seek injunctive or equitable relief in any competent jurisdiction to protect its intellectual property.

10. Severability and Entire Agreement

If any provision of this License is held to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified only to the extent necessary to render it enforceable while preserving its intent. This License, together with any commercial-license agreement you have executed with the Licensor, constitutes the entire agreement between you and the Licensor with respect to the Licensed Work and supersedes all prior or contemporaneous understandings.
